Terms of Service
1. Acceptance of the Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you (the "User," "you," "your") and Agentic Quebec Inc. (the "Company," "we," "us," "our"), a corporation incorporated under the laws of Quebec, Canada. These Terms govern your access to and use of our website, platform, APIs, and any related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing the Service, you represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you are duly authorized to bind that entity to these Terms. In that case, "you" and "your" refer to both you and that entity, which are jointly and severally responsible for compliance with these Terms. The Service is intended for professional and commercial use; it is not intended for consumers acting for personal, family, or household purposes.
2. Description of the Service
Agentic Quebec Inc. provides agentic AI software designed to be installed and run on your own workstation or server, together with an infrastructure-as-a-service (IaaS) component that supplies the GPU computing power required for artificial-intelligence model inference (collectively, the "Service"). The Service is not a hosted, multi-tenant cloud application: the software runs locally, under your control, while AI processing that requires GPU resources is performed on remote infrastructure accessed over the Internet. The Service may include, without limitation:
- AI-powered agent and automation software that runs on your workstation or server;
- A cloud (IaaS) component providing GPU computing power for AI model inference;
- Application programming interfaces (APIs);
- Data processing and analytics features executed locally;
- Integration connectors with third-party applications;
- User dashboards, reports, and management consoles.
Because the software runs on your own hardware, your data and files remain under your control, on your workstation or server. Only the data strictly necessary — such as prompts transmitted for AI inference, together with authentication and billing information — transits to our infrastructure, as described in our Privacy Policy.
We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice, at our sole discretion.
3. Account Registration and Security
To access certain features, you must create an account. You agree to:
- Provide accurate, complete, and current information at registration;
- Maintain the confidentiality of your login credentials;
- Notify us immediately of any unauthorized access to your account;
- Be responsible for all activities carried out under your account.
We reserve the right to suspend or terminate your account if false information is provided or in the event of a breach of these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you must not:
- Violate any applicable law or regulation;
- Transmit any unlawful, harmful, defamatory, obscene, or fraudulent content;
- Impersonate any person or entity;
- Attempt to gain unauthorized access to systems, data, or accounts;
- Distribute malware, viruses, or any harmful code;
- Disrupt or overload the Service infrastructure;
- Scrape, crawl, or extract data from the Service without our prior written authorization;
- Circumvent security or authentication measures.
5. Intellectual Property
The Service and its original content — including, without limitation, software, text, graphics, logos, icons, images, audio clips, digital downloads, and data compilations — are the exclusive property of Agentic Quebec Inc. or its licensors and are protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for internal business purposes, in accordance with these Terms.
6. Your Data and Content
You retain all rights in the data and content you submit to the Service (the "Customer Content"). You grant us a limited, non-exclusive, worldwide license to host, process, transmit, and display the Customer Content solely as necessary to provide the Service.
Agentic Quebec Inc. applies the principle of data minimization and collects only the information necessary to operate the Service, fulfill its legal and contractual obligations, and secure the platform. The processing of your personal information — including data categories, purposes, processors (such as Stripe, QuickBooks, and OVHcloud), and transfers outside Quebec — is described in detail in our Privacy Policy, which forms an integral part of these Terms.
We do not sell your personal information and do not exploit it for any commercial purpose other than providing and improving the Service, in accordance with the Privacy Policy.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your personal information as described in that Policy.
8. Artificial Intelligence Features
The Service includes features powered by artificial intelligence (the "AI Features"). By using them, you acknowledge and agree to the following:
- Authorization. You authorize us to transmit your queries, instructions, and relevant Customer Content to the AI Features and, where applicable, to third-party AI model providers, solely to generate the requested outputs. You represent that you hold all rights and consents necessary to submit such content.
- Generated outputs. Outputs produced by the AI Features are provided for informational purposes only, may be inaccurate or incomplete, and do not constitute professional advice (legal, financial, accounting, technical, or otherwise). You are solely responsible for verifying and using such outputs.
- Third-party sharing. Where third-party AI model providers are used, processing is governed by those providers' terms and privacy policies, as described in our Privacy Policy.
- Service improvement. We may use aggregated and de-identified data derived from AI Feature interactions to improve the reliability and performance of the Service.
9. Third-Party Services and Integrations
The Service may integrate with third-party services, applications, or websites (for example, Stripe for payment processing, QuickBooks for accounting, or other connectors). These third-party services are provided by their respective operators and governed by their own terms of service and privacy policies. Agentic Quebec Inc. has no control over, does not endorse, and disclaims all responsibility for the availability, accuracy, or practices of such third-party services. Any integration you enable is at your own risk and under your own responsibility.
10. Payments, Subscriptions, and Billing
Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to:
- Provide accurate and complete payment information;
- Keep that information up to date;
- Authorize recurring charges according to the pricing plan selected.
All applicable taxes are added to the fees indicated.
10.1 Payment Processing (Stripe)
Payments are processed by Stripe, Inc., our payment service provider. By providing your payment information, you agree to Stripe's terms and privacy policy. Agentic Quebec Inc. does not store full credit card numbers on its servers; that data is processed and retained by Stripe. We are not responsible for the acts or omissions of Stripe.
10.2 Automatic Renewal and Cancellation
Unless otherwise stated, subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current rate, until cancelled. You may cancel automatic renewal at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you retain access to the Service until that date.
10.3 Refunds and Proration
Except as expressly provided herein or required by applicable law, fees are non-refundable and are not subject to any credit or pro-rated reduction for a partial period, early cancellation, plan downgrade, or partial use.
10.4 Non-Payment
In the event of non-payment or a declined charge, we may, after reasonable notice, suspend or restrict your access to the Service until outstanding amounts are settled. Accounts that remain unpaid may be terminated.
10.5 Price Changes
We may change our fees at any time. Any price change applicable to an existing subscription will be communicated to you at least 30 days before it takes effect, by email or by notice within the Service. The change takes effect at the next renewal; if you do not accept the new rate, you may cancel before that date.
10.6 Free Trial
We offer a fourteen (14) day free trial to allow you to evaluate the Service. This trial applies to a single seat (one user only). Creating multiple accounts or using multiple email addresses to obtain more than one free trial is strictly prohibited and may result in the immediate suspension or termination of the affected accounts, without notice.
11. Feedback
If you provide us with suggestions, ideas, comments, or recommendations regarding the Service (the "Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, and transferable right and license to use, reproduce, modify, and incorporate such Feedback for any purpose, without any obligation or compensation to you.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR THAT THE OUTPUTS OF THE AI FEATURES WILL BE ACCURATE OR RELIABLE.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGENTIC QUEBEC INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS OR REVENUE, NOR FOR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE ASSETS, ARISING FROM:
- Your access to or use of, or inability to access or use, the Service;
- Any conduct or content of a third party on the Service;
- Any content or output obtained from the Service, including AI Feature outputs;
- Unauthorized access to, use of, or alteration of your transmissions or content.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF AGENTIC QUEBEC INC. ARISING OUT OF OR RELATING TO THESE TERMS, FOR ALL CLAIMS COMBINED, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU ACTUALLY PAID US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
14. Indemnification
You agree to defend, indemnify, and hold harmless Agentic Quebec Inc., its subsidiaries, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your breach of these Terms, or your violation of the rights of any third party.
15. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including in the event of a breach of these Terms. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your data after a 30-day grace period; (c) provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will remain in effect.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
Any dispute arising out of these Terms or the Service will first be submitted to good-faith negotiation. Failing resolution within 30 days, the parties agree to submit the dispute to the exclusive jurisdiction of the courts of the Province of Quebec, district of Montreal.
Notwithstanding the foregoing, we reserve the right to seek an injunction or other equitable relief before any court of competent jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website or by email at least 15 days before they take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not accept the changes, you must stop using the Service and close your account.
18. Miscellaneous
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable order form or addendum, constitute the entire agreement between you and Agentic Quebec Inc. regarding the Service and supersede all prior agreements.
18.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
18.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
18.4 Assignment
You may not assign these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or a substantial part of our assets.
18.5 Force Majeure
We are not responsible for delays or failures to perform our obligations resulting from causes beyond our reasonable control, including natural disasters, pandemics, governmental measures, Internet outages, or third-party service failures.
18.6 Language
The parties have agreed that these Terms and all related documents be drawn up in French. Les parties ont convenu que les présentes Conditions et tous les documents connexes soient rédigés en français.
